THE NEWPORT BUSINESS ASSOCIATION
Since 2012, members of the Newport Business Association have worked collaboratively to support one another and enhance our town. Actively engaged in organising events for Newport, our commitment is unwavering in elevating the status of the Island's county town. The Newport Business Association maintains close partnerships with various organisations, collaborating on projects aimed at enhancing the town's appeal for businesses, residents, and visitors alike.

Championing Newport: NBA's Dedication to Our Community
The NBA takes great pride in actively collaborating with and backing our local community. Our focus extends to elevating Newport's events, including the Jazz Festival, Small Business Saturday, World Car-Free Day, and the festive Christmas lights switch-on.
In 2021, we proudly sponsored a children's book reading event at the Riverside Centre, emphasizing our commitment to fostering educational and community-oriented initiatives. Moreover, our consistent support extends to the aspiring young athletes participating in Team IOW at the Island Games.
As integral members, constituting one-third ownership, of Shaping Newport, we are deeply invested in contributing to the ongoing regeneration and enhancement of Newport. Our aim is to actively assist, support, and guide the initiatives undertaken by Shaping Newport to ensure a positive impact on the community.
Our Constitution
NAME:
The name of the Association shall be Newport (Isle of Wight) Business Association, and shall be referred to
as the Association.
OBJECTIVES/AIMS:
The objectives of the Association shall be to promote the interests of all local businesses within the
Newport area and specifically:
a) To encourage the use of the local businesses by residents, visitors and the larger business community.
b) Raising the image of Newport by promoting the town as “Newport, The Historic County Town”,
improving the public realm, publicity of local events, and services provided by local businesses.
c) To improve where possible the local employment opportunities in local businesses.
d) To encourage the development of new business opportunities in the Newport area.
e) Provide a forum to discuss issues of importance to members.
f) Help members to meet and exchange ideas with other like- minded people.
g) To encourage Islanders to ‘Shop Local’.
h) To act as a lobbying body and to comment on development plans for Newport.
i) To create a vision for the County Town and re‐invigorate the importance of its existence.
(j) To work with Newport and Carisbrooke Parish Council and IW Council as partners in delivering the
Place Plan “Shaping Newport”
MEMBERSHIP:
Newport Business Association welcomes members that are on the Isle of Wight, and are active in – or have
customers in – Newport and the surrounds.
SUBSCRIPTIONS:
An annual subscription will be payable for membership and reviewed at each AGM.
STRUCTURE:
a) The membership shall elect a Committee from its membership. This Committee will be responsible for
the day-to day running of the Association’s affairs and formulation of policy.
b) The Committee shall consist of a minimum of four and a maximum of twelve members.
c) Four members will be required to form a quorum of the Committee.
d) The Committee shall elect its own officers and meet as often as required but at least six times a year.
e) Sub-Committees or individuals may be appointed to carry out specific activities with remits
on behalf of the Association as agreed at an ordinary meeting of the Committee.
MEETINGS:
a) The programme of meetings shall be agreed by the Committee and called by the Secretary as
agreed or at the request of the Chair. The meetings shall be held on the first Wednesday
of every month.
b) Meetings will be held to consult with the general membership where matters merit action as agreed
by the Committee.
c) Minutes of ordinary and Annual General Meetings will be kept by the Secretary or a suitable
replacement in their absence. Sub-committees will arrange for minutes of their meetings to be
kept and passed to the Secretary for recording.
ANNUAL GENERAL MEETING:
The A.G.M. will be held in the month of April and will take the following form:
a) Summary report from Chair of the past year.
b) Approval of the financial statement.
c) Confirmation of membership.
d) Election of Officers.
e) Other notified business.
f) Ten members shall form a quorum at the A.G.M.
g) The financial year shall end on 31st March, by which time the date of the A.G.M. will be set to take
place within three weeks of 31st March.
h) Two weeks’ notice of the date, time and place of the meeting shall be given to all members.
SPECIAL MEETINGS:
An Extraordinary General Meeting may be called by:
a) Any four members of the Committee.
b) Any ten members of the Association in writing to the Committee. In either case two weeks’ notice
must be given to each member of any such Extraordinary General Meeting and such notice must
indicate the business to be discussed.
BANKING FACILITIES:
The Committee will have power to operate bank accounts with signatories being the Treasurer,
Chair and selected members.
ALTERATION TO CONSTITUTION:
Any proposal to amend the Association’s Constitution must be submitted to the Committee in writing. The
next meeting of the Association will consider any amendment(s) and vote on any amendment(s). Two
weeks’ notice will be given of a meeting, indicating the amendment(s) to be considered.
Any amendment to the Constitution must be passed by a majority of those present and eligible to vote.
DISSOLUTION:
The Association may be dissolved at a meeting which has been called, given two weeks’ notice of the date,
time and venue to all members and clearly stating that a proposal for the dissolution of
the Association has been lodged with the Committee. The issue will be resolved on a majority of
those present and eligible to vote. Any surplus funds or resources of the Association will be
distributed to a similar association or to charity.
GENERAL:
a) Members eligible to vote will be those who have paid the current subscription to the Association.
b) The Chair of the Association, or failing them the chair duly elected for the purpose of any
specific meeting, shall have a second (casting) vote in the event of a drawn vote.
c) Unintentional omissions or actions with regards to any procedure shall not invalidate the
procedure.
d) Any dispute regarding the Constitution shall be resolved by the Committee subject to reviews at
a special meeting.
This constitution was adopted as the constitution of the Newport Isle of Wight Business Association
at a meeting of the Association convened on 4th April 2012 at McDonalds, St James’ Street
It was revised on 7th November 2018, at 30 High Street, by the committee to take into consideration the
Shaping Newport (2018) plan to which the Association are partners.
It was revised on 4th September 2024, at Red Squirrel Property Shop, by the members in attendance to alter
the membership boundaries to extend beyond the Parish Boundary.
